An LLP is a separate legal entity with its own PAN, so it takes GST registration in its own name. The law does not give an LLP a lower or different threshold; it registers when its turnover crosses the limit or when its activity requires compulsory registration.
No. Incorporating an LLP does not by itself trigger GST. The LLP must register once its all-India aggregate turnover crosses Rs. 20 lakh for services or mixed supplies (Rs. 10 lakh in Manipur, Mizoram, Nagaland and Tripura), or Rs. 40 lakh in most states for goods only, within 30 days of crossing.
Many LLPs register voluntarily from the start because their clients are registered businesses that want to claim input tax credit, or because they sell goods to other states, which needs registration regardless of turnover.
The LLP name and PAN details on the GST application must match the incorporation records exactly. Officers commonly raise REG-03 queries when the registered office in MCA records differs from the GST principal place of business without explanation, or when the rent agreement is in a partner's personal name and there is no NOC in favour of the LLP.
Reply to a REG-03 query in REG-04 within 7 working days. If the query is not answered, the application can be rejected and you will have to start again.
The LLP files GSTR-1 and GSTR-3B monthly, or quarterly under QRMP if eligible. The annual return GSTR-9 becomes mandatory above Rs. 2 crore aggregate turnover and GSTR-9C above Rs. 5 crore.
Adding or removing a designated partner is a core amendment through REG-14. If a partnership firm converts into an LLP, the LLP needs a fresh registration because the PAN changes. A CA can handle the application, the conversion and the monthly filings.
