For a partnership firm, the deed is the constitution document. Officers read it to confirm who the partners are, where the business runs and when it started. Unstamped, unsigned or outdated deeds are a frequent cause of REG-03 queries for firms.
Stamp duty on partnership deeds is set by each state's stamp act and depends on factors such as capital contribution. Notarisation does not replace stamp duty. Registration of the firm with the Registrar of Firms under the Indian Partnership Act is a separate matter; GST rules do not require it, but if the firm is registered, upload the registration certificate as well.
Confirm the stamp duty with a local vendor or advocate, execute the deed on stamp or e-stamp paper, have all partners and two witnesses sign, and scan the complete document into one PDF within the portal's size limit. Keep the original for verification.
Execute a properly stamped deed or a supplementary deed that fixes the defect, and upload it with your REG-04 reply within the time stated. If the application was rejected, refile with the corrected deed.
